These are structured notes, which are unsecured debt obligations of the issuing bank. Principal protection is
provided by each note's buffer or barrier structure and is subject to the credit risk of the issuing bank; these notes are not FDIC insured, not bank deposits, and not guaranteed by any government agency. Protection applies only if a note is held to its stated maturity date. Structured notes are generally illiquid: there is no assurance a
secondary market will exist, and notes sold before maturity may be sold at a loss. 'Buffer' offerings provide
pro-rata principal protection up to the stated percentage; 'Barrier' offerings provide no protection once the stated barrier is breached, exposing the investor to loss beyond that point.
